Terms of Use

These Terms of Use ("Terms") govern your access to and use of the LegallyLite platform and services (the "Service") provided by LegallyLite Inc. ("LegallyLite," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. The Service

LegallyLite is an AI-assisted legal drafting tool that analyzes uploaded legal documents to learn a user's writing style and generates draft documents. The Service is designed to assist licensed attorneys in their practice.

2. Not Legal Advice

LegallyLite does not provide legal advice. The Service is a drafting assistance tool, not a law firm, lawyer, or substitute for professional legal judgment. Specifically:

  • All output generated by the Service is AI-generated and must be reviewed, verified, and approved by a licensed attorney before any use, filing, or client reliance.
  • The Service does not establish an attorney-client relationship between LegallyLite and any user or any third party.
  • AI-generated drafts may contain errors, inaccuracies, or omissions. You are solely responsible for verifying the accuracy, completeness, and legal sufficiency of all output.
  • LegallyLite does not guarantee that any citation, legal argument, or factual assertion in AI-generated output is correct.
  • You acknowledge that the use of AI-generated content in legal proceedings carries inherent risks, and you assume full responsibility for any reliance on such content.

3. Eligibility

The Service is intended for use by licensed attorneys and legal professionals. By using the Service, you represent that you are a licensed attorney or are operating under the supervision of a licensed attorney, and that you are at least 18 years old.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity under your account. Notify us immediately at hello@legallylite.com if you believe your account has been compromised.

5. Your Content

5.1 Ownership

You retain all rights to the documents you upload ("User Content") and to the drafts generated by the Service based on your User Content. LegallyLite does not claim ownership of your User Content or generated output.

5.2 License to Us

By uploading User Content, you grant LegallyLite a limited, non-exclusive license to process, store, and analyze your User Content solely to provide the Service to you. This license terminates when you delete the applicable content or cancel your account.

5.3 No Training on Your Data

We do not use your User Content to train AI models. Your uploaded documents and voice profiles are processed solely to generate output for you and are stored in your firm's isolated environment.

5.4 Your Responsibilities

You are responsible for ensuring that you have the right to upload any documents to the Service, including obtaining any necessary client consents. You represent that your use of the Service complies with all applicable professional conduct rules, including rules regarding client confidentiality.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Upload documents containing information you are not authorized to share.
  • Attempt to access another user's data or another firm's isolated environment.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to generate content intended to deceive courts, opposing parties, or clients.
  • Resell, sublicense, or redistribute the Service without our written permission.

7. Fees and Payment

The Service is offered at $500 per seat per month during the beta period. Pricing is subject to change; early access users will be notified of changes in advance. Early adopters who sign up during the beta period lock in their rate for as long as they maintain an active subscription.

Subscriptions are billed monthly. You may cancel at any time. Upon cancellation, you retain access through the end of your current billing period, after which all your data is permanently purged.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Without limiting the foregoing:

  • We do not warrant that AI-generated output will be accurate, complete, legally sufficient, or free of errors.
  • We do not warrant that the Service will be uninterrupted, secure, or error-free.
  • We do not warrant that citations, case references, or legal arguments in generated output are correct or current.
  • We do not warrant that generated output will comply with any specific court's rules, formatting requirements, or procedural standards.

You acknowledge that all AI-generated output is a starting point that requires independent attorney review and verification. You assume all risk associated with the use of AI-generated content in your legal practice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGALLYLITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF LEGALLYLITE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGALLYLITE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO LEGALLYLITE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless LegallyLite, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your reliance on AI-generated output; or (d) your violation of these Terms or any applicable law or professional conduct rule.

11. Termination

You may cancel your account at any time. We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms. Upon termination, all your data is permanently deleted from our systems.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in King County, Washington.
